These Amigo Services Terms & Conditions (the "Terms") apply to every product and service you buy from Spring Training MD, LLC, doing business as Amigo by SpringTrainingMD ("Amigo," "we," "us," or "our"). "You" and "Client" mean the business, and the person acting for it, that buys from Amigo.

Part 1 contains the general terms that apply to everything. Part 2 contains the additional terms for each product. If a product term in Part 2 conflicts with Part 1, the product term controls for that product.

This summary is for convenience. The full terms below control.

Part 1 — General Terms

1. Agreement and Order of Precedence

1.1 These Terms apply to each invoice, payment link, proposal, quote, order form, and Statement of Work ("SOW") issued by Amigo (each, an "Order").

1.2 You accept these Terms when you sign an Order, pay an invoice or payment link, or authorize a payment to Amigo.

1.3 If documents conflict, they control in this order: a) a signed SOW or other written agreement signed by both parties; b) the Order; c) these Terms; and d) other content on amigo.springtrainingmd.com, which is informational only and is not part of your agreement with Amigo (these Terms, as posted at amigo-terms.springtrainingmd.com, are part of your agreement).

1.4 You confirm that you are buying for business purposes, that you are at least 18 years old, and that you have authority to bind the business named on the Order.

2. Definitions

2.1 "Start of Work" means the earliest of: (a) your kickoff or onboarding call; (b) Amigo beginning work on any part of an Order, including discovery, strategy, design, copy, or system setup; or (c) Amigo giving you access to Basecamp™ or to any Amigo-managed system or account.

2.2 "Launch or Handoff" means the earlier of: (a) the public launch of a website, store, funnel, or campaign built under an Order; or (b) Amigo delivering the final deliverables, files, or account ownership or access to you.

2.3 "Deliverables" means the work product Amigo provides under an Order. "Amigo Materials" has the meaning in Section 11.

3. Pricing, Invoices and Payment

3.1 All prices are in U.S. dollars. The price on your Order controls. Prices on the Amigo website are illustrative starting prices; where a range is listed, the final price depends on the scope Amigo quotes to you.

3.2 Unless your Order states otherwise, invoices are due on receipt, and Amigo schedules work after your payment clears.

3.3 For recurring fees, you authorize Amigo to charge the payment method on file on each billing date until your subscription is cancelled under Section 5. You agree to keep a valid payment method on file.

3.4 If a payment is late or fails, Amigo may pause work, suspend access to Amigo systems, and withhold Deliverables until the account is current. Timelines move by the length of the delay.

3.5 Prices do not include taxes. You are responsible for any sales, use, or similar taxes that apply to your purchase, other than taxes on Amigo's income.

3.6 Advertising and media spend, and third-party costs such as domains, software licenses, stock assets, and paid tools, are not included unless your Order says they are.

3.7 Amigo may change recurring fees on thirty (30) days' written notice. The price of a one-time Order is fixed once it is paid.

3.8 Financing, where offered, is provided by third parties, approval is not guaranteed, and financing terms are between you and the lender. Financing does not change your obligations under these Terms.

4. Refunds, Deposits and Chargebacks

4.1 Deposits are non-refundable. A deposit reserves your place in Amigo's production schedule and funds the Start of Work.

4.2 All fees are non-refundable once work has started. This includes cases where you pause the project, change direction, or end the engagement early.

4.3 If you cancel an Order in writing before the Start of Work, Amigo will refund the amount you paid for that Order, except any deposit and the Basecamp™ setup fee, which are non-refundable.

4.4 Recurring fees are not refunded or credited for partial months or unused services.

4.5 Please contact Amigo before disputing a charge with your bank or card issuer. A chargeback for fees you owe under these Terms is a breach of these Terms. Amigo may suspend services and recover the disputed amount.

5. Monthly Subscriptions

5.1 This section applies to Basecamp™ and to the monthly Trading Post™ services (Full Acquisition Management, Monthly Creative Refresh, Executive Growth Advisory, and Fractional CMO). Monthly fees are billed in advance.

5.2 Subscriptions are month-to-month, with no minimum term.

5.3 To cancel, give Amigo thirty (30) days' written notice by email to [email protected]. Services and billing continue during the notice period. Any monthly charge that falls within the 30-day notice period is due, and services continue through the end of that paid month.

5.4 Amigo may end a subscription on thirty (30) days' written notice, or sooner under Section 16.

6. Scope, Revisions and Change Requests

6.1 Your Order or SOW describes the Deliverables. Anything not listed there is out of scope.

6.2 Each major Deliverable includes up to two (2) rounds of revisions. Additional revisions, and changes to agreed scope, are quoted in writing before the work proceeds.

6.3 Timelines are good-faith estimates. They pause while Amigo is waiting for your content, access, feedback, or approvals.

7. Your Responsibilities

7.1 You agree to provide, on time, the business information, logos, brand materials, website information, marketing approvals, and account access that Amigo needs to perform the services, and you confirm that the information you provide is accurate and complete.

7.2 Amigo is not responsible for delays caused by missing, late, or inaccurate information from you.

7.3 You are solely responsible for your own licensure, business registration, insurance, taxes, employment matters, and compliance with the laws that apply to your business.

8. Medical Services and Clinical Independence

8.1 Amigo provides business, marketing, technology, and operational services. Amigo does not provide medical services to you.

8.2 Any clinical care for patients is provided only by appropriately licensed healthcare providers, subject to jurisdiction, program availability, medical eligibility, provider determination, and applicable requirements. Those providers alone are responsible for medical evaluation, treatment decisions, prescribing where appropriate, and ongoing care.

8.3 For patients, programs, and records associated with SpringTrainingMD, you will not diagnose, determine medical eligibility, prescribe, override or change provider decisions or treatment plans, or present yourself as a SpringTrainingMD provider unless you are separately contracted as one.

8.4 The fees you pay Amigo are for business services. They are not payment for patient referrals and are not intended to influence any clinical or prescribing decision.

8.5 Nothing in these Terms restricts you from practicing within the lawful scope of your own licenses, separately from SpringTrainingMD programs.

9. LegitScript and Marketing Compliance

9.1 You may state: "Partnered with SpringTrainingMD, a LegitScript-certified telehealth organization." You may not represent your business as LegitScript certified, display LegitScript seals or logos without authorization, or imply that you own SpringTrainingMD's certifications.

9.2 You must get Amigo's written approval before publishing marketing that refers to SpringTrainingMD, Amigo, weight-loss medications, GLP-1 programs, peptides, hormone optimization, telehealth services, providers, or pharmacies.

9.3 Amigo may require you to change or remove content that could jeopardize LegitScript certification, advertising-platform approvals, payment processing, or provider or pharmacy relationships. You agree to make those changes within five (5) business days of notice, or immediately where Amigo identifies an urgent compliance risk.

9.4 You will not advertise products or make claims that LegitScript, advertising platforms, or payment processors prohibit. Amigo may decline to build, publish, or run any content it reasonably believes creates a compliance risk.

10. Patient Data and Privacy

10.1 You will not request, access, keep, or disclose protected health information except as permitted by applicable law and SpringTrainingMD policies.

10.2 SpringTrainingMD owns medical records, patient charts, clinical documentation, and compliance records. You are responsible for complying with privacy and marketing laws that apply to data your business collects, including consent requirements for email and text messages.

11. Ownership and Intellectual Property

11.1 Your materials. You keep ownership of your business names, logos, and content you provide, as well as your social media accounts, domains, email lists, existing customer databases, and marketing audiences. You give Amigo permission to use them to perform the services.

11.2 Client deliverables. When you have paid an Order in full, you own the final brand assets created specifically for your business under that Order, such as your logo, brand identity, custom copy, and custom creative. Until you have paid in full, Amigo owns them.

11.3 Amigo Materials. Amigo keeps all rights in its frameworks, templates, website and funnel frameworks, CRM workflows and snapshots, automations, SOPs, scripts, sales systems, AI tools, training materials, and processes, including improvements to them and any parts built into your Deliverables ("Amigo Materials"). While your Order or subscription is active and paid, you have a limited, non-exclusive, non-transferable license to use Amigo Materials in your own business. Once an Order is paid in full, you may keep using the Amigo Materials built into that Order's Deliverables as part of those Deliverables.

11.4 You may not copy, sell, license, reverse engineer, reproduce, or repurpose Amigo Materials for anyone else or for a competing program.

11.5 Amigo, Trail Boss™, Outfitter™, Trading Post™, Basecamp™, Patient Acquisition Engine™, and Client Love™ are trademarks of Spring Training MD, LLC.

12. Confidentiality

12.1 Each party will keep the other's non-public information confidential, including information about customers, providers, pharmacies, pricing, finances, software, processes, and business strategies. Each party may share it only with employees and contractors who need to know it and are bound by confidentiality obligations, or as required by law.

12.2 Confidential information does not include information that is public, that was independently developed, or that was lawfully received from a third party. These obligations last for five (5) years after your last Order or subscription ends.

13. Non-Solicitation and Non-Circumvention

13.1 While you are an Amigo client and for twenty-four (24) months afterward, you will not directly or indirectly: (a) solicit or hire Amigo's employees, contractors, or marketing personnel; (b) contract directly with providers or pharmacies introduced to you through Amigo; (c) divert Amigo or SpringTrainingMD customers; or (d) use Amigo relationships or Amigo Materials to build a competing program or to bypass Amigo.

13.2 This section does not apply to relationships that you can show existed before your first Order. A breach may cause irreparable harm, and Amigo may seek injunctive relief in addition to any other remedy.

14. Non-Exclusivity

14.1 Nothing in these Terms gives you exclusive rights to any territory, market, industry, or customer. Amigo may work with other businesses, including competitors and businesses in your city or specialty.

15. No Guarantee of Results

15.1 Amigo does not guarantee leads, appointments, patients, sales, revenue, profit, customer retention, advertising approvals, LegitScript approval, or any business or health outcome. Examples, case studies, calculators, and estimated values are illustrative only.

15.2 Amigo does not control third-party platforms and services, including Meta, Google, TikTok, YouTube, payment processors, pharmacies, and software vendors, and cannot guarantee their approval, availability, or performance.

16. Suspension and Termination

16.1 Amigo may suspend or end services if: (a) you do not pay on time; (b) you breach these Terms and do not fix the breach within ten (10) days of notice; or (c) your conduct could jeopardize LegitScript certification, provider or pharmacy relationships, advertising approvals, or payment processing. In case (c), Amigo may act immediately.

16.2 You may end a one-time Order at any time by written notice. Refunds, if any, follow Section 4. Subscriptions end as described in Section 5.

16.3 When services end: (a) amounts already owed remain due; (b) your license to Amigo Materials ends, except as stated in Section 11.3 for Orders paid in full; and (c) if you ask within thirty (30) days, Amigo will make reasonable efforts to export your contact data from Amigo-managed systems.

16.4 Sections 4, 10 through 15, and 17 through 22 survive the end of your relationship with Amigo.

17. Disclaimers

17.1 EXCEPT AS EXPRESSLY STATED IN THESE TERMS OR A SIGNED SOW, THE SERVICES, DELIVERABLES, AND AMIGO MATERIALS ARE PROVIDED "AS IS," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. AMIGO DOES NOT WARRANT THAT ANY SYSTEM OR PLATFORM WILL BE UNINTERRUPTED OR ERROR-FREE.

18. Limitation of Liability

18.1 TO THE FULLEST EXTENT PERMITTED BY LAW, AMIGO AND ITS AFFILIATES, OWNERS, EMPLOYEES, AND CONTRACTORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, OR LOST BUSINESS OPPORTUNITIES.

18.2 AMIGO'S TOTAL LIABILITY FOR ANY CLAIM IS LIMITED TO THE FEES YOU PAID AMIGO UNDER THE ORDER GIVING RISE TO THE CLAIM DURING THE TWELVE (12) MONTHS BEFORE THE CLAIM AROSE.

19. Indemnification

19.1 You agree to indemnify and hold harmless Amigo and its affiliates, owners, employees, and contractors from claims, damages, and expenses (including reasonable attorneys' fees) arising from: (a) your products, services, and business operations; (b) marketing you publish without Amigo's approval; (c) content and materials you provide; or (d) your violation of law or of these Terms.

20. Independent Contractors

20.1 Amigo and you are independent contractors. These Terms do not create an employment, partnership, joint venture, agency, franchise, or medical-practice relationship. Neither party may bind the other without prior written consent.

21. Governing Law and Venue

21.1 These Terms are governed by the laws of the State of Wyoming, without regard to its conflict-of-laws principles. Any dispute will be brought in the state or federal courts located in Wyoming, and both parties consent to their jurisdiction.

22. General

22.1 Notices. Notices to Amigo must be sent by email to [email protected]. Amigo may send notices to the email address on your account.

22.2 Changes. Amigo may update these Terms by posting the updated version at amigo-terms.springtrainingmd.com. Updated Terms apply to Orders placed after the update, and to active subscriptions thirty (30) days after Amigo notifies you.

22.3 Entire agreement. These Terms, your Orders, and any signed SOW are the entire agreement between you and Amigo about their subject, and they replace any prior discussions.

22.4 Severability. If any provision is found unenforceable, it will be enforced to the maximum extent permitted, and the rest of these Terms remain in effect.

22.5 Assignment. You may not assign these Terms without Amigo's written consent. Amigo may assign them to an affiliate or successor.

22.6 Force majeure. Neither party is liable for delays caused by events beyond its reasonable control, such as platform outages, natural disasters, or government action. This does not apply to payment obligations.

22.7 Electronic acceptance. Electronic signatures, payments, and email confirmations are binding.

Part 2 — Product Terms

A. Basecamp™ — $249 setup, then $750 per month

Basecamp is the medical and pharmacy foundation for every Trading Post™ relationship. It includes access to Amigo's medical and provider infrastructure, pharmacy network, and core medical ecosystem, plus standard onboarding and support. There is no build fee and no revenue share. (In invoices, Basecamp appears as "Trading Post: Base Camp.")

A.1 The $249 setup fee is charged at signup and is non-refundable.

A.2 Trial option. Your 10-day trial starts at signup. The first $750 monthly fee is charged when the trial ends and then every month after that. If you cancel in writing before the trial ends, no monthly fee is charged. The setup fee is not refunded.

A.3 Paid-in-full option. You pay $999 at signup, which covers the $249 setup fee and your first month. The $750 monthly fee begins in month two and recurs monthly. There is no trial with this option.

A.4 After the trial (or from signup, for the paid-in-full option), Basecamp is month-to-month and may be cancelled with thirty (30) days' written notice (Section 5).

A.5 An active Basecamp subscription is required for all Trading Post™ services. If Basecamp ends, Amigo may pause or end any service that depends on it. Fees for work already started remain non-refundable.

A.6 Access to medical infrastructure is subject to jurisdiction, program availability, medical eligibility, provider determination, and applicable requirements (Section 8).

B. Trail Boss™ — $100,000

Trail Boss is Amigo's flagship, done-with-you build: brand and business build, the Patient Acquisition Engine™, managed acquisition and optimization, the Client Love™ community, and hands-on growth leadership.

B.1 Payment options: (a) $100,000 paid in full at signing; or (b) a 25% deposit of $25,000 at signing, with the remaining 75% ($75,000) due before Launch or Handoff.

B.2 The deposit is non-refundable. All fees are non-refundable once work has started (Section 4).

B.3 Amigo will not launch or hand off Deliverables until the balance is paid. If Deliverables are ready for Launch or Handoff and launch is delayed for more than thirty (30) days for reasons within your control, the balance becomes due at the end of that 30-day period.

B.4 Scope, deliverables, and timeline are set out in your SOW. Advertising and media spend and third-party costs are separate unless your SOW says otherwise. Any "estimated replacement value" or case-study figure is illustrative only.

C. Outfitter™ — $35,000

Outfitter provides proven infrastructure for a launch-ready business: brand foundation, website, CRM and automation, clinical and pharmacy infrastructure, core funnel, tracking and launch playbook, and training with a launch-ready handoff.

C.1 Payment options: (a) $35,000 paid in full at signing; or (b) a 25% deposit of $8,750 at signing, with the remaining 75% ($26,250) due before Launch or Handoff.

C.2 The deposit is non-refundable. All fees are non-refundable once work has started (Section 4).

C.3 Amigo will not launch or hand off Deliverables until the balance is paid. If Deliverables are ready for Launch or Handoff and launch is delayed for more than thirty (30) days for reasons within your control, the balance becomes due at the end of that 30-day period.

C.4 Scope, deliverables, and timeline are set out in your SOW. Advertising and media spend and third-party costs are separate unless your SOW says otherwise. Any "estimated replacement value" or case-study figure is illustrative only.

D. Trading Post™ One-Time Services

Trading Post services are individual projects you add on top of Basecamp. Listed prices are starting prices; where a range is shown, your invoice reflects the scope Amigo quotes to you.

D.1 An active Basecamp™ subscription is required.

D.2 Services are paid in full before the Start of Work, unless your invoice shows a deposit or payment schedule.

D.3 Fees are non-refundable once work has started (Section 4).

D.4 Each major Deliverable includes up to two (2) rounds of revisions. Additional revisions and scope changes are quoted separately (Section 6).

D.5 Advertising and media spend for launch services (such as Meta Ads Launch, Google Ads Launch, and Multi-Channel Launch) is not included.

E. Trading Post™ Monthly Services

These services are ongoing and billed monthly. The monthly fee is set by the scope Amigo quotes to you.

E.1 An active Basecamp™ subscription is required.

E.2 Fees are billed monthly, in advance. Services are month-to-month and may be cancelled with thirty (30) days' written notice (Section 5). Partial months are not refunded.

E.3 Advertising and media spend is not included.

E.4 Amigo does not guarantee results (Section 15).
